Terms of Service

1. Account

• You must be at least 18 years old and authorized to bind your organization.
• You are responsible for the security of your credentials and API keys.
• You must provide accurate registration information and keep it up to date.

2. Plans, fees, and payment

• Plan tiers, included usage, and overage rates are listed at iraa.ai/#pricing.
• Paid plans are billed monthly or annually in advance via Stripe. Fees are non-refundable except where required by law.
• We may change pricing with 30 days' notice; changes take effect at the next renewal.
• You authorize us to charge usage in excess of plan allotments at the published overage rate.

3. Acceptable use

You agree not to:

• Deploy the DemoAgent on sites whose content is unlawful, infringing, or harmful.
• Use the Service to generate spam, deceive visitors, or impersonate a real person without disclosure.
• Reverse-engineer, scrape at scale, or attempt to bypass authentication or rate limits.
• Use the Service to compete with iraa.ai by building a substantially similar product.
• Upload personal data of EU/UK data subjects without a Data Processing Agreement in place.

4. Customer content and licenses

You retain ownership of all content you upload (PDPs, knowledge, demo flows, branding, demo-account credentials) (“Customer Content”). You grant iraa.ai a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Content solely to operate and improve the Service for you. We do not use Customer Content or visitor transcripts to train foundation models.

5. iraa.ai IP

The Service, including the agent platform, widget, dashboard, brand, and documentation, is the property of iraa.ai and its licensors. You receive only the limited license to use the Service stated in these Terms.

6. Privacy and data protection

Our handling of personal data is described in our Privacy Policy. For customers processing EU/UK personal data through the Service, our Data Processing Agreement is incorporated by reference and available on request.

7. AI output disclaimer

The DemoAgent uses large-language models that may produce inaccurate, incomplete, or outdated output. You are responsible for reviewing agent behavior on your product and for the accuracy of any PDP, knowledge, or response you publish. The Service is not a substitute for professional advice (legal, financial, medical, etc.).

8. Service availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance is announced in advance where practical. Paid plans may include a separate Service Level Agreement.

9. Termination

• You may cancel at any time from the dashboard.
• We may suspend or terminate accounts for breach of these Terms with notice where reasonable.
• Upon termination, your access ends and Customer Content is deleted per the retention schedule in the Privacy Policy.

10. Warranties and disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, iraa.ai's aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid iraa.ai in the 12 months preceding the claim or (b) USD 100. iraa.ai is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues.

12. Indemnification

You agree to defend and indemnify iraa.ai against claims arising out of (a) your Customer Content, (b) your use of the Service in breach of these Terms, or (c) your violation of applicable law.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, once iraa.ai is incorporated there; until then, by the laws of India. Disputes will be resolved in the courts of competent jurisdiction in that location.

14. Changes

We may update these Terms. Material changes will be announced via email to account owners and posted at the top of this page with a new “Last updated” date. Continued use of the Service after changes constitutes acceptance.
